Terms & Conditions of Sale

01. Acceptance of Terms

These Terms apply to purchases made through nexelec.com, through a Nexus Electronics quotation, purchase order, sales representative, or other authorized sales channel.

Submission of an order constitutes acceptance of these Terms. Any additional or conflicting terms contained in a Customer purchase order, procurement document, acknowledgment, or other communication will not modify these Terms unless expressly accepted by Nexus Electronics in writing.

02. Orders & Order Acceptance

All orders are subject to acceptance by Nexus Electronics. Receipt of an order confirmation, automated email, payment authorization, or other electronic acknowledgment does not necessarily constitute final acceptance of an order.

Nexus Electronics reserves the right to review, reject, cancel, limit, or place an order on hold when reasonably necessary, including in cases involving pricing errors, suspected fraud, inventory discrepancies, product availability, payment issues, export restrictions, or other circumstances that prevent fulfillment.

If Nexus Electronics cancels an order after payment has been collected, the amount paid for the cancelled portion of the order will be refunded.

03. Pricing & Errors

Prices are subject to change without notice unless otherwise stated in a valid written quotation. Prices displayed on our Website generally exclude shipping, freight, insurance, duties, taxes, brokerage fees, and other applicable charges unless expressly stated otherwise.

Nexus Electronics makes reasonable efforts to maintain accurate pricing, inventory, and Product information. However, typographical errors, incorrect pricing, data synchronization errors, inventory discrepancies, manufacturer data errors, or other inaccuracies may occasionally occur.

Nexus Electronics reserves the right to correct pricing or Product information errors and to cancel or modify an affected order, including after an order has been submitted, if a price, quantity, Product specification, availability status, or other material information was displayed incorrectly.

04. Quotations & Requests for Quote

Written quotations issued by Nexus Electronics are valid for the period stated on the quotation. If no expiration period is stated, pricing and availability remain subject to confirmation at the time an order is placed.

Quoted pricing may depend on quantity, manufacturer availability, market conditions, lead time, packaging requirements, freight, applicable tariffs, and other factors. Changes to requested quantities, delivery schedules, specifications, or other requirements may require a revised quotation.

A quotation does not reserve or allocate inventory unless Nexus Electronics expressly confirms otherwise in writing.

05. Product Availability & Lead Times

Inventory quantities, availability information, estimated ship dates, and manufacturer or supplier lead times are provided in good faith but may change without notice.

Lead times are estimates and may be affected by production schedules, material shortages, transportation delays, allocation, supply-chain conditions, customs processing, supplier availability, or other circumstances outside Nexus Electronics' reasonable control.

Unless Nexus Electronics expressly guarantees a delivery date in writing, quoted or displayed lead times and estimated delivery dates are estimates and are not guaranteed.

Nexus Electronics may fulfill an order in multiple shipments when Products become available at different times.

06. Payment Terms

Payment is due according to the terms presented during checkout, stated on the applicable quotation or invoice, or otherwise agreed upon in writing.

Customers with approved credit accounts are responsible for payment according to their established account terms. Nexus Electronics may modify or withdraw credit terms when appropriate based on account status, payment history, or credit considerations.

Orders may be held and future shipments may be suspended when an account has past-due balances or other unresolved payment issues.

07. Taxes, Duties & Other Charges

Customers are responsible for applicable sales, use, excise, value-added, customs, import, and similar taxes or governmental charges associated with their purchase, except for taxes imposed on Nexus Electronics' income.

Customers claiming tax-exempt status are responsible for providing valid exemption documentation acceptable to Nexus Electronics and the applicable taxing authorities.

For international shipments, the Customer is responsible for applicable duties, taxes, customs charges, brokerage fees, and other import-related charges unless Nexus Electronics expressly agrees otherwise in writing.

08. Order Changes & Cancellations

Requests to modify or cancel an order should be submitted as soon as possible. Nexus Electronics will make reasonable efforts to accommodate such requests but cannot guarantee that an order can be changed or cancelled after processing has begun.

Orders that have shipped cannot be cancelled and must instead be handled through the applicable return process.

Special-order, manufacturer-direct, custom, customer-specific, scheduled, Non-Cancellable/Non-Returnable ("NCNR"), cut-to-quantity, or specially packaged Products may not be eligible for cancellation once the order has been accepted or Nexus Electronics has committed inventory or resources to fulfill the order.

09. Special Orders, NCNR, Cut Products & Customer-Specific Inventory

Certain Products may be designated as special order, custom, manufacturer-direct, scheduled, customer-specific, cut-to-quantity, or Non-Cancellable/Non-Returnable ("NCNR").

Products may be stocked or received by Nexus Electronics in factory reels, spools, trays, tubes, tape-and-reel packaging, bulk packaging, cartons, or other factory quantities. To fulfill a Customer's requested quantity, Nexus Electronics may cut, separate, divide, repackage, or otherwise remove Products from their original factory packaging.

Once Products have been cut, separated, divided, repackaged, or removed from factory packaging specifically to fulfill a Customer's order, those Products may no longer be eligible for cancellation or return.

Nexus Electronics will make reasonable efforts to identify applicable restrictions before accepting an order when practicable. Once Nexus Electronics has committed to purchasing, allocating, cutting, repackaging, or stocking Products on the Customer's behalf, cancellation or return may be restricted.

Customer-specific inventory programs, scheduled orders, blanket purchase orders, and production-level stocking arrangements may be governed by additional written terms agreed upon between Nexus Electronics and the Customer.

10. Shipping & Delivery

The Nexus Electronics shipping department operates Monday through Friday only, excluding major holidays and other days on which Nexus Electronics is closed.

Orders are processed and shipped on business days. Orders received on Saturdays, Sundays, major holidays, after normal business hours, or after an applicable shipping cutoff may be processed on the next business day.

Any representation regarding same-day shipping applies only to eligible, in-stock Products and orders received, accepted, paid or credit-approved, and ready for fulfillment before the applicable shipping cutoff on a business day when the Nexus Electronics shipping department is open.

Available shipping methods and estimated delivery dates may be presented during checkout or provided by a Nexus Electronics representative.

Shipping and delivery estimates are not guarantees unless expressly agreed to in writing. Nexus Electronics is not responsible for delays caused by carriers, customs authorities, severe weather, transportation disruptions, holidays, government actions, or other circumstances outside Nexus Electronics' reasonable control.

When a Customer requests shipment using its own carrier account, the Customer is responsible for applicable carrier charges and for maintaining a valid account authorized for the shipment.

Expedited shipping, international shipments, freight arrangements, special packaging, and other requested shipping services may be subject to additional charges.

11. Returns, RMAs, Fulfillment Errors & Defective Products

All returns require prior authorization from Nexus Electronics LLC ("Nexus Electronics") and may require a Return Merchandise Authorization ("RMA"). Products returned without authorization may be refused, delayed in processing, or returned to the Customer.

Customer-Requested Returns

Requests to return eligible Products for reasons other than a Nexus Electronics fulfillment error or an approved defective Product claim must generally be received within 30 days of delivery and are subject to Nexus Electronics management approval.

To be considered for return, Products must be new, unused, uninstalled, unaltered, and in their original condition. Where applicable, Products must include the original packaging, labels, accessories, documentation, and quantity supplied.

Approved Customer-requested returns are subject to a 20% restocking fee, unless Nexus Electronics agrees otherwise in writing.

Certain Products are not eligible for return, including special-order, custom, customer-specific, NCNR, cut-to-quantity, or specially packaged Products.

Products supplied from factory reels, spools, trays, tubes, tape-and-reel, bulk packaging, cartons, or other factory packaging may be cut, separated, divided, or repackaged by Nexus Electronics to fulfill the Customer's requested quantity. Products that have been cut or removed from their original factory quantity specifically to fulfill an Order may be designated Non-Cancellable/Non-Returnable.

Nexus Electronics Fulfillment Errors

If Nexus Electronics determines that it shipped an incorrect Product, incorrect quantity, or otherwise incorrectly fulfilled an Order, the Customer will not be charged a restocking fee for the affected Product.

Subject to verification of the claim, Nexus Electronics, at its option, may either:

1. Refund the Customer the full purchase price paid for the affected Product or affected quantity; or
2. Replace or correct the affected Product or quantity at no additional Product or shipping cost to the Customer.

When Nexus Electronics requires the incorrectly shipped Product to be returned, Nexus Electronics will be responsible for reasonable return shipping costs using the return method or shipping instructions authorized by Nexus Electronics.

Nexus Electronics may require the Customer to return incorrectly shipped Products before a refund, credit, or replacement is issued.

Defective Products

If a Customer believes a Product was defective when delivered, the Customer should promptly contact Nexus Electronics and request an RMA before returning the Product.

Nexus Electronics may require photographs, Product markings, packaging information, lot or date-code information, test results, failure information, or return of the affected Product so that the claim can be inspected and verified.

If Nexus Electronics determines that the Product was defective when delivered, Nexus Electronics, at its option, may either:

1. Refund the full purchase price paid for the affected Product; or
2. Provide a replacement Product at no additional Product or shipping cost to the Customer.

For an approved defective Product claim, Nexus Electronics will be responsible for reasonable authorized return shipping costs when return of the Product is required.

12. Inspection, Shortages & Shipping Damage

Customers should inspect shipments promptly upon receipt. Apparent shipping damage, shortages, incorrect Products, quantity discrepancies, or other fulfillment issues should be reported to Nexus Electronics as soon as reasonably practicable after discovery.

Customers should retain the Products, shipping carton, packaging materials, shipping labels, photographs, and other relevant materials when reporting shipping damage because they may be required for inspection or a carrier claim.

13. Product Information, Images & Technical Data

Product descriptions, specifications, photographs, illustrations, renderings, drawings, datasheets, compatibility information, manufacturer part numbers, dimensions, and other technical information displayed on nexelec.com or in other Nexus Electronics materials are provided for identification, convenience, and reference purposes.

Product images are for reference purposes only and may not depict the exact Product or packaging the Customer will receive.

Images displayed on the Website may include manufacturer or supplier images, representative photographs, digitally created or enhanced images, renderings, or images generated or modified using artificial intelligence ("AI") technologies.

AI-generated, digitally generated, enhanced, or representative images are intended solely to assist with Product identification and presentation and should not be relied upon as an exact representation of Product appearance, packaging, markings, labeling, dimensions, configuration, pin arrangement, color, date code, lot code, country of origin, or other Product characteristics.

Customers should rely primarily upon the applicable manufacturer part number, written Product description, specifications, and technical documentation when determining whether a Product is suitable for their requirements.

If packaging, markings, labeling, date code, lot code, country of origin, physical appearance, configuration, or another characteristic is material to the Customer's purchasing decision, the Customer should contact Nexus Electronics and obtain written confirmation before ordering.

Manufacturers and suppliers may revise Products, specifications, materials, packaging, manufacturing locations, or documentation without notice.

Customers are responsible for confirming that a Product is appropriate for their intended application before purchase and use.

Unless expressly stated otherwise in writing by Nexus Electronics, Product information appearing on our Website, quotations, catalogs, or other sales materials does not constitute engineering advice or a guarantee of fitness for a particular application.

14. Featured Brands — OEM Overstock & Authorized Distribution Sources

Nexus Electronics is an independent distributor of electronic, electrical, automotive, and related components.

Products identified or displayed under "Featured Brands — OEM Overstock & Authorized Distribution Sources" may include Products obtained from OEM excess, surplus, or overstock inventory and/or Products sourced through authorized distribution channels.

Unless expressly identified otherwise in writing, Products offered by Nexus Electronics are represented as new and unused.

Products may be supplied in original factory packaging or may be cut, separated, divided, or repackaged depending upon the quantity ordered, original factory packaging, inventory source, and fulfillment requirements.

Unless Nexus Electronics expressly states otherwise in writing, Nexus Electronics is not an authorized distributor, representative, agent, affiliate, franchisee, or authorized reseller of the manufacturers or brands displayed or referenced on the Website.

Nexus Electronics does not represent the manufacturer, and the advertisement, listing, display, stocking, or sale of a manufacturer's Product does not imply that Nexus Electronics is affiliated with, sponsored by, approved by, endorsed by, or otherwise officially associated with that manufacturer.

The term "Authorized Distribution Sources" refers to the sourcing channel through which certain Products may have been obtained. It does not mean or imply that Nexus Electronics itself is an authorized distributor of the applicable manufacturer.

Manufacturer names, brand names, trademarks, logos, Product names, and part numbers are used for Product identification and reference purposes. All such trademarks and other intellectual property remain the property of their respective owners.

15. Product Warranties & Manufacturer Warranties

Unless expressly stated otherwise in writing by Nexus Electronics, Products sold by Nexus Electronics do not include a manufacturer warranty , and Nexus Electronics does not represent or guarantee that the original manufacturer will provide warranty coverage, returns, replacements, technical support, traceability, certifications, failure analysis, or other services for Products purchased through Nexus Electronics.

This is particularly applicable to Products sourced from OEM excess, surplus, overstock, authorized distribution channels, or other secondary commercial supply channels where Nexus Electronics is not the manufacturer's authorized distributor.

The fact that a Product is new and unused does not mean that the Product carries the original manufacturer's warranty.

Unless Nexus Electronics expressly provides a separate written warranty, Nexus Electronics makes no independent manufacturer warranty for third-party Products.

Any return, refund, replacement, inspection, credit, or other remedy offered directly by Nexus Electronics is governed by these Terms, the applicable Nexus Electronics return policy, and any specific written terms applicable to the transaction.

To the fullest extent permitted by applicable law, any warranties not expressly provided by Nexus Electronics in writing are disclaimed, including implied warranties of merchantability and fitness for a particular purpose, except to the extent such warranties cannot legally be excluded.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Nexus Electronics will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the purchase, use, inability to use, delay, or failure of Products, including lost profits, lost production, lost business opportunities, or business interruption.

To the fullest extent permitted by applicable law, Nexus Electronics' aggregate liability arising from a Product or order will not exceed the amount paid to Nexus Electronics for the specific Product or order giving rise to the claim.

Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

17. Export Controls & Trade Compliance

Products, software, technical information, and other items supplied by Nexus Electronics may be subject to United States export control, sanctions, customs, and trade laws and regulations.

Customers are responsible for complying with applicable laws concerning export, re-export, transfer, resale, end use, and destination of Products purchased from Nexus Electronics.

Products may not be sold, exported, re-exported, transferred, or otherwise provided to prohibited destinations, restricted parties, or prohibited end users or end uses in violation of applicable law.

Nexus Electronics may request information concerning the ultimate destination, end user, or intended use of an order and may decline, hold, or cancel transactions when reasonably necessary to comply with applicable trade restrictions.

18. Force Majeure

Nexus Electronics will not be responsible for delays or failure to perform caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil disturbance, labor disputes, transportation interruptions, government actions, embargoes, epidemics, pandemics, utility failures, cyber incidents affecting third parties, supplier failures, material shortages, or widespread supply-chain disruptions.

Performance obligations affected by such circumstances may be extended for a period reasonably necessary to address the disruption.

19. Intellectual Property & Manufacturer Trademarks

The Nexus Electronics name, Website design, original graphics, written content, software, databases, and other materials created by or for Nexus Electronics may be protected by trademark, copyright, and other intellectual-property laws.

Manufacturer names, brand names, trademarks, logos, Product names, part numbers, Product images, datasheets, and other third-party intellectual property remain the property of their respective owners.

Nexus Electronics' use of manufacturer names, trademarks, logos, part numbers, or other identifying information is for Product identification, compatibility, informational, and reference purposes and does not imply manufacturer authorization, affiliation, sponsorship, approval, or endorsement.

No purchase from Nexus Electronics transfers ownership of intellectual property rights associated with any manufacturer, Product, software, documentation, or other protected material except as expressly provided by the applicable rights holder.

20. Governing Law & Enforceability

These Terms and transactions governed by them will be interpreted in accordance with applicable United States law and the applicable law governing Nexus Electronics LLC, without giving effect to conflict-of-law principles that would require application of another jurisdiction's laws, except where otherwise required by applicable law.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in full force and effect.

Failure by Nexus Electronics to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

21. Changes to These Terms

Nexus Electronics may revise these Terms from time to time to reflect changes to our business practices, Products, services, legal requirements, sourcing practices, or operational procedures.

The version published on our Website at the time an order is placed will generally apply to that transaction unless different terms have been expressly agreed to in writing.

The effective date shown at the top of this page indicates when these Terms were most recently updated.
