Terms & Conditions of Sale
These Terms & Conditions govern purchases made from Nexus Electronics LLC through our website, quotations, purchase orders, and other authorized sales channels.
Please read these Terms & Conditions of Sale ("Terms") carefully. By placing an order with Nexus Electronics LLC ("Nexus Electronics," "Nexus," "we," "us," or "our"), the purchaser ("Customer," "you," or "your") agrees to these Terms unless different terms have been expressly agreed to by Nexus Electronics in writing.
Acceptance of Terms
These Terms apply to purchases made through nexelec.com, through a Nexus Electronics quotation, purchase order, sales representative, or other authorized sales channel.
Submission of an order constitutes acceptance of these Terms. Any additional or conflicting terms contained in a Customer purchase order, procurement document, acknowledgment, or other communication will not modify these Terms unless expressly accepted by Nexus Electronics in writing.
Orders & Order Acceptance
All orders are subject to acceptance by Nexus Electronics. Receipt of an order confirmation, automated email, payment authorization, or other electronic acknowledgment does not necessarily constitute final acceptance of an order.
Nexus Electronics reserves the right to review, reject, cancel, limit, or place an order on hold when reasonably necessary, including in cases involving pricing errors, suspected fraud, inventory discrepancies, product availability, payment issues, export restrictions, or other circumstances that prevent fulfillment.
If Nexus Electronics cancels an order after payment has been collected, the amount paid for the cancelled portion of the order will be refunded.
Pricing & Errors
Prices are subject to change without notice unless otherwise stated in a valid written quotation. Prices displayed on our website generally exclude shipping, freight, insurance, duties, taxes, brokerage fees, and other applicable charges unless expressly stated otherwise.
Nexus Electronics makes reasonable efforts to maintain accurate pricing, inventory, and product information. However, typographical errors, incorrect pricing, data synchronization errors, inventory discrepancies, manufacturer data errors, or other inaccuracies may occasionally occur.
Nexus Electronics reserves the right to correct pricing or product information errors and to cancel or modify an affected order, including after an order has been submitted, if a price, quantity, product specification, availability status, or other material information was displayed incorrectly.
Quotations & Requests for Quote
Written quotations issued by Nexus Electronics are valid for the period stated on the quotation. If no expiration period is stated, pricing and availability remain subject to confirmation at the time an order is placed.
Quoted pricing may depend on quantity, manufacturer availability, market conditions, lead time, packaging requirements, freight, applicable tariffs, and other factors. Changes to requested quantities, delivery schedules, specifications, or other requirements may require a revised quotation.
A quotation does not reserve or allocate inventory unless Nexus Electronics expressly confirms otherwise in writing.
Product Availability & Lead Times
Inventory quantities, availability information, estimated ship dates, and manufacturer lead times are provided in good faith but may change without notice.
Manufacturer lead times are estimates and may be affected by production schedules, material shortages, transportation delays, allocation, supply-chain conditions, customs processing, or other circumstances outside Nexus Electronics' reasonable control.
Unless Nexus Electronics expressly guarantees a delivery date in writing, quoted or displayed lead times and estimated delivery dates are estimates and are not guaranteed.
Nexus Electronics may fulfill an order in multiple shipments when products become available at different times.
Payment Terms
Payment is due according to the terms presented during checkout, stated on the applicable quotation or invoice, or otherwise agreed upon in writing.
Customers with approved credit accounts are responsible for payment according to their established account terms. Nexus Electronics may modify or withdraw credit terms when appropriate based on account status, payment history, or credit considerations.
Orders may be held and future shipments may be suspended when an account has past-due balances or other unresolved payment issues.
Taxes, Duties & Other Charges
Customers are responsible for applicable sales, use, excise, value-added, customs, import, and similar taxes or governmental charges associated with their purchase, except for taxes imposed on Nexus Electronics' income.
Customers claiming tax-exempt status are responsible for providing valid exemption documentation acceptable to Nexus Electronics and the applicable taxing authorities.
For international shipments, the Customer is responsible for applicable duties, taxes, customs charges, brokerage fees, and other import-related charges unless Nexus Electronics expressly agrees otherwise in writing.
Order Changes & Cancellations
Requests to modify or cancel an order should be submitted as soon as possible. Nexus Electronics will make reasonable efforts to accommodate such requests but cannot guarantee that an order can be changed or cancelled after processing has begun.
Orders that have shipped cannot be cancelled and must instead be handled through the applicable return process.
Special-order, manufacturer-direct, custom, customer-specific, scheduled, or Non-Cancellable/Non-Returnable ("NCNR") products may not be eligible for cancellation once the order has been accepted or Nexus Electronics has committed to the manufacturer or supplier.
Special Orders, NCNR & Customer-Specific Inventory
Certain products may be designated as special order, custom, manufacturer-direct, scheduled, customer-specific, or Non-Cancellable/Non-Returnable ("NCNR").
Nexus Electronics will make reasonable efforts to identify applicable restrictions before accepting an order. Once Nexus Electronics has committed to purchasing, producing, allocating, or stocking such products on the Customer's behalf, cancellation or return may be restricted.
Customer-specific inventory programs, scheduled orders, blanket purchase orders, and production-level stocking arrangements may be governed by additional written terms agreed upon between Nexus Electronics and the Customer. Those written terms will control in the event of a conflict with this section.
Shipping & Delivery
Available shipping methods and estimated delivery dates may be presented during checkout or provided by a Nexus Electronics representative.
Shipping and delivery estimates are not guarantees unless expressly agreed to in writing. Nexus Electronics is not responsible for delays caused by carriers, customs authorities, severe weather, transportation disruptions, or other events occurring after the shipment has been tendered to the carrier.
When a Customer requests shipment using its own carrier account, the Customer is responsible for applicable carrier charges and for maintaining a valid account authorized for the shipment.
Expedited shipping, international shipments, freight arrangements, special packaging, and other requested shipping services may be subject to additional charges.
Returns & RMAs
Nexus Electronics generally accepts eligible returns when the return request is received within 30 days of delivery and the products have not been used.
Returned products must be unused and in their original condition. Where applicable, products should include the original packaging, labels, accessories, documentation, and quantity supplied.
A Return Merchandise Authorization ("RMA") may be required before products are returned. Products returned without authorization may be refused, delayed in processing, or returned to the Customer.
Products that have been installed, used, modified, damaged, altered, improperly handled, improperly stored, or otherwise rendered unsuitable for resale are not eligible for standard return.
Special-order, custom, manufacturer-direct, customer-specific, scheduled, or NCNR products may not be returnable. Any applicable return-shipping responsibility, inspection requirements, or restocking charges will be communicated as part of the return authorization process.
Requests to return eligible unused products must be received by Nexus Electronics within 30 days of delivery. Customers should obtain return authorization before sending products back.
Inspection, Shortages & Shipping Damage
Customers should inspect shipments promptly upon receipt. Apparent shipping damage, shortages, incorrect products, quantity discrepancies, or other fulfillment issues should be reported to Nexus Electronics as soon as reasonably practicable after discovery.
Customers should retain the products, shipping carton, packaging materials, shipping labels, photographs, and other relevant materials when reporting shipping damage because they may be required for inspection or a carrier claim.
Product Information & Technical Data
Product descriptions, specifications, photographs, drawings, datasheets, compatibility information, manufacturer part numbers, dimensions, and other technical information are provided for convenience and may originate from manufacturers or other third-party sources.
Manufacturers may revise products, specifications, materials, packaging, manufacturing locations, or documentation without notice. Customers are responsible for confirming that a product is appropriate for their intended application before purchase and use.
Unless expressly stated otherwise in writing by Nexus Electronics, product information appearing on our website, quotations, catalogs, or other sales materials does not constitute engineering advice or a guarantee of fitness for a particular application.
Product Warranties
Products sold by Nexus Electronics may be covered by warranties provided by their respective manufacturers. To the extent permitted by the applicable manufacturer and applicable law, Nexus Electronics will reasonably assist Customers with legitimate warranty claims.
Unless Nexus Electronics expressly provides a separate written warranty, Nexus Electronics does not independently manufacture or warrant third-party products beyond applicable manufacturer warranties.
Warranty coverage may be affected or excluded by improper installation, misuse, unauthorized modification, improper storage, electrical or mechanical abuse, operation outside stated specifications, or other conditions excluded by the applicable manufacturer's warranty.
Limitation of Liability
To the fullest extent permitted by applicable law, Nexus Electronics will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the purchase, use, inability to use, delay, or failure of products, including lost profits, lost production, lost business opportunities, or business interruption.
To the fullest extent permitted by applicable law, Nexus Electronics' aggregate liability arising from a product or order will not exceed the amount paid to Nexus Electronics for the specific product or order giving rise to the claim.
Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.
Export Controls & Trade Compliance
Products, software, technical information, and other items supplied by Nexus Electronics may be subject to United States export control, sanctions, customs, and trade laws and regulations.
Customers are responsible for complying with applicable laws concerning export, re-export, transfer, resale, end use, and destination of products purchased from Nexus Electronics.
Products may not be sold, exported, re-exported, transferred, or otherwise provided to prohibited destinations, restricted parties, or prohibited end users or end uses in violation of applicable law.
Nexus Electronics may request information concerning the ultimate destination, end user, or intended use of an order and may decline, hold, or cancel transactions when reasonably necessary to comply with applicable trade restrictions.
Force Majeure
Nexus Electronics will not be responsible for delays or failure to perform caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil disturbance, labor disputes, transportation interruptions, government actions, embargoes, epidemics, pandemics, utility failures, cyber incidents affecting third parties, supplier failures, material shortages, or widespread supply-chain disruptions.
Performance obligations affected by such circumstances may be extended for a period reasonably necessary to address the disruption.
Intellectual Property
The Nexus Electronics name, website design, original graphics, written content, software, databases, and other materials created by or for Nexus Electronics may be protected by trademark, copyright, and other intellectual-property laws.
Manufacturer names, trademarks, logos, product images, datasheets, and other third-party intellectual property remain the property of their respective owners.
No purchase from Nexus Electronics transfers ownership of intellectual property rights associated with any manufacturer, product, software, documentation, or other protected material except as expressly provided by the applicable rights holder.
Governing Law & Enforceability
These Terms and transactions governed by them will be interpreted in accordance with applicable United States law and the applicable law governing Nexus Electronics LLC, without giving effect to conflict-of-law principles that would require application of another jurisdiction's laws, except where otherwise required by applicable law.
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in full force and effect.
Failure by Nexus Electronics to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
Changes to These Terms
Nexus Electronics may revise these Terms from time to time to reflect changes to our business practices, products, services, legal requirements, or operational procedures.
The version published on our website at the time an order is placed will generally apply to that transaction unless different terms have been expressly agreed to in writing.
The effective date shown at the top of this page indicates when these Terms were most recently updated.
